Digital Health Check Service Terms
1. About these terms
These Digital Health Check Service Terms (Service Terms) apply when a person or organisation (Client, you or your) purchases a Digital Health Check from Braveno Pty Ltd (ABN 19 693 412 976), trading as Throughline Studio (Throughline Studio, we, us or our).
The Website provides information about Throughline Studio, our approach, work and services, allows you to make an enquiry, and links to third-party services used to begin a Digital Health Check booking and make payment.
If you book on behalf of an organisation, you confirm that you have authority to bind that organisation and to provide the information and access used for the service.
2. The Digital Health Check
The Digital Health Check is a structured review of the Client's digital presence. Its scope may include the website, search visibility, AI search presence and relevant publicly available business or social-profile information, as described on the service page at the time of booking.
The service includes:
collection and review of information reasonably required for the assessment
technical and strategic analysis using Throughline Studio's selected tools, systems and professional judgement
a plain-language findings report identifying key issues, priorities and recommended next steps
a link to arrange the included 20-minute findings call.
Unless expressly stated otherwise, the service does not include implementation, content production, technical remediation, advertising management, ongoing monitoring or legal, financial or accounting advice.
3. Booking, payment and commencement
You begin the booking process by completing the Digital Health Check form. You must provide complete and accurate information and any access reasonably required for the service.
Payment is made against a Xero invoice and may be processed through Stripe. Full payment is required before the service commences. The price is the amount shown on the service page or invoice at the time of booking and, unless stated otherwise, excludes GST.
By paying the invoice, you request and authorise Throughline Studio to begin the service promptly. Payment may initiate automated collection and technical assessment processes. Those processes may begin or complete quickly and may not be capable of being stopped or reversed after initiation.
The booking is confirmed and the service may commence when payment has been received. We may pause the service where required information or access is incomplete. If the request falls outside the advertised scope, or a conflict, security concern or other reasonable issue prevents us from accepting or delivering the service, we will contact you and refund any amount attributable to work not performed.
4. Turnaround and delivery
The stated turnaround is three business days, beginning on the first business day after all of the following have occurred:
payment has been received
the booking form has been completed with the required information
any access reasonably required for the agreed review has been provided and is working.
A business day is a weekday other than a public holiday in Queensland. Delivery may take longer if information or access is delayed, a third-party platform or data source is unavailable, or circumstances outside our reasonable control affect the assessment. We will let you know if a material delay becomes apparent.
The findings report will be delivered electronically to the email address supplied in the booking form. The included findings call must be booked within 30 days after delivery unless we agree otherwise.
5. Your responsibilities
You agree to:
provide accurate, current and lawful information
have authority to provide submitted information and grant any account access
use platform access controls to grant viewer access rather than sharing passwords
maintain required access until the report is delivered, unless we confirm it is no longer needed
tell us promptly if information is incorrect or access has changed.
We are not responsible for delay, reduced scope or incomplete findings caused by missing, inaccurate or inaccessible information.
6. Cancellation and refunds
To request cancellation, you must email paula@throughlinestudio.com.au as soon as possible. Closing a form, revoking access or contacting a third-party platform does not by itself cancel the service or stop processes already initiated.
If we receive and accept a cancellation request before any processing or work has begun, we will refund the amount paid, less any actual non-recoverable third-party transaction charges where permitted by law.
Once processing or work has begun, a refund is not ordinarily available for change of mind because a substantial part of the service may already have been performed or irrevocably committed. If you cancel at that stage, we will stop the remaining work that can reasonably be stopped after receiving your email.
Where appropriate, we may provide a partial refund for a clearly unperformed portion of the service, less the reasonable value of work already performed and non-recoverable costs. Any assessment will be made reasonably in the circumstances and does not require disclosure of Throughline Studio's proprietary processes, systems or internal allocation of effort.
If we cancel the service for reasons not caused by your breach and cannot deliver it, we will refund the portion of the fee attributable to work not performed. Nothing in this section limits any refund, cancellation or other remedy available under the Australian Consumer Law.
7. Data, access and third-party services
The Digital Health Check may use third-party platforms, data sources and application interfaces to collect or analyse information relevant to the agreed scope. Availability, completeness and accuracy may depend on those third parties, the Client's permissions and the data available at the time of review.
We do not warrant that every data source will be available or complete. Where a source is unavailable, we may use another reasonable source, adjust the affected part of the review or explain the limitation in the report.
Our Privacy Policy explains how personal information, booking information and account access are handled. Viewer access should be limited to what is reasonably required and may be revoked after the service is delivered.
8. Nature and limitations of findings
The report is a point-in-time assessment based on the information and access available during the review. Websites, search engines, AI systems, analytics platforms, advertising systems and third-party services change over time.
Findings and recommendations involve professional judgement. They do not guarantee search rankings, AI visibility, traffic, leads, sales, revenue or any other commercial result. You remain responsible for deciding whether and how to implement a recommendation and for obtaining specialist legal, financial, security or compliance advice where needed.
If you believe the report contains a factual error, notify us within five business days after delivery. We will review the issue and correct a confirmed error where reasonably practicable. A difference of opinion about priorities or recommendations is not, by itself, an error in the service.
9. Intellectual property and permitted use
You retain ownership of the information, content and materials you provide. Subject to full payment, you may use the final findings report internally within your business and share it with your employees, professional advisers and contractors for the purpose of considering or implementing its recommendations.
Throughline Studio retains ownership of all pre-existing and underlying intellectual property, including its methods, frameworks, templates, analysis systems, workflows, software, tools, know-how and working materials. The service fee does not include access to backend systems, raw working files, automation logic, source materials or internal analysis records.
You must not resell, publish, license, reproduce for commercial distribution, use to train a competing service, reverse engineer or create a competing product from the report or any part of Throughline Studio's methodology without our written permission. This does not prevent reasonable internal use of the report as allowed above.
10. Confidentiality
Each party must keep the other party's non-public business, technical and commercial information confidential and use it only for the service. Information may be disclosed to personnel, contractors, technology providers and professional advisers who need it for that purpose and are subject to appropriate confidentiality obligations.
This obligation does not apply to information that is already public through no breach of these Service Terms, was lawfully known without restriction, is independently developed, or must be disclosed by law.
11. Australian Consumer Law and liability
Nothing in these Service Terms excludes, restricts or modifies any consumer guarantee, right, remedy or liability that cannot lawfully be excluded, including under the Australian Consumer Law.
Subject to those non-excludable rights, and to the maximum extent permitted by law:
we are not liable for indirect or consequential loss, loss of revenue, loss of opportunity, loss of anticipated savings or decisions made in reliance on third-party data
we are not liable for an outage, change, omission or error caused by a third-party platform or data source outside our reasonable control
our total aggregate liability arising from the Digital Health Check is limited to the fee paid for that service.
Where liability for a failure to comply with a consumer guarantee may lawfully be limited, our liability is limited, at our option, to supplying the service again or paying the reasonable cost of having the service supplied again.
12. General
These Service Terms are governed by the laws of Queensland, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Queensland and courts entitled to hear appeals from them.
If part of these Service Terms is invalid or unenforceable, it will be read down to the extent necessary or severed and the remaining provisions will continue. A failure or delay in exercising a right does not waive that right.
Any variation must be agreed in writing. If these Service Terms conflict with the Website Terms of Use in relation to the Digital Health Check, these Service Terms prevail. The invoice prevails only in relation to the price, GST and payment details stated on it.
